Terms of service

English courtesy translation. The French version (version française) prevails.

Provider: Gusto Core (“the Provider”)

Client: the subscribing establishment identified at sign-up (“the Client”)

Version: 1.0 — 2026-07-18

1. Purpose

The Provider gives the Client software-as-a-service (SaaS) access to the GustoCore Premium platform, an establishment management application (human resources, recipes, HACCP, purchasing, sanitation, OHS, planning, sales, finance, quality and employee portal), according to the plan chosen by the Client (Base, Pro or Complete).

2. Access and instance

2.1 Each Client has an isolated instance (dedicated database and application).

2.2 The Provider supplies the credentials of an initial administrator account. The Client is responsible for managing its own user accounts and for keeping credentials confidential.

2.3 The available modules correspond to the subscribed plan. The Client may change plans; the change takes effect at the next billing cycle.

3. Fees and billing

3.1 Fees correspond to the chosen plan, billed monthly in advance, in Canadian dollars, through the Stripe payment provider.

3.2 The Client authorizes recurring automatic payment on the payment method provided.

3.3 Payment default. If a payment fails, the Client has a grace period of seven (7) days. When this period ends without settlement, access to the instance is suspended automatically. The data is kept during the suspension.

3.4 Reactivation. Payment of the amounts due automatically reactivates access.

3.5 Applicable taxes (GST/QST) are added to the displayed prices where applicable.

4. Availability and maintenance

4.1 The Provider makes commercially reasonable efforts to keep the service available. No quantified availability guarantee (SLA) is offered, unless agreed separately in writing.

4.2 Planned interruptions (updates, maintenance) may occur; a maintenance page is displayed when needed.

4.3 The Provider makes regular, encrypted backups of the Client's data.

5. Data ownership

5.1 The Client remains the owner of all its data.

5.2 On request, or upon termination, the Provider gives the Client a complete and portable export of its data (database + files), in accordance with Law 25 (right to portability).

5.3 The processing of personal information is governed by the attached Personal information processing agreement (Law 25), which forms an integral part of these terms.

6. Client obligations

6.1 Use the service in accordance with applicable laws.

6.2 Not attempt to access the instances or data of other clients, nor bypass security mechanisms.

6.3 Be responsible for the accuracy of the data it enters.

7. Intellectual property

The software, its code, its brand and its documentation remain the exclusive property of the Provider. The Client obtains a non-exclusive, non-transferable right of use, limited to the term of the subscription.

8. Limitation of liability

To the extent permitted by law, the Provider's total liability is limited to the amount of fees paid by the Client during the previous twelve (12) months. The Provider is not liable for indirect damages.

9. Term and termination

9.1 The subscription is monthly and renews automatically.

9.2 The Client may terminate at any time; access remains active until the end of the paid period.

9.3 Upon termination, the Provider provides the data export and then, after a reasonable retention period, proceeds with its deletion (see the Law 25 agreement).

9.4 The Provider may terminate in case of a serious breach not remedied after notice.

10. Changes

The Provider may change these terms with reasonable notice. Continued use constitutes acceptance.

11. Governing law

These terms are governed by the laws of Québec and Canada. Any dispute falls under the courts of the judicial district of the Provider's head office.

By subscribing to GustoCore Premium, the Client acknowledges having read and accepted these terms and the Personal information processing agreement (Law 25).
